These Telure Payment Processing Terms (Stripe Connect) (these "Processing Terms") describe how payment processing on the Platform is performed through Stripe, what each Seller and each Client agrees to with Stripe directly, and how Stripe's role interacts with Telure's. These Processing Terms are issued by Telure, Inc., a Delaware corporation ("Telure").
1. Scope and Incorporation
1.1 Application. These Processing Terms apply to every Seller and every Client that uses the Platform and to every movement of funds processed through Stripe in connection with the Platform.
1.2 Incorporation by reference. These Processing Terms are incorporated by reference into, and form part of, the Telure Seller Agreement and the Telure Client Agreement, and are read together with the Telure Payment, Escrow and Payout Terms.
1.3 Relationship to the Telure Payment, Escrow and Payout Terms. The Telure Payment, Escrow and Payout Terms govern the substantive money rules of the Platform: prefunding, reservation, verification, the Dispute Window, release, fees, offset, and refunds. These Processing Terms govern the mechanics of processing those movements through Stripe. Where the two conflict on the mechanics of processing, these Processing Terms control; on all substantive money rules, the Telure Payment, Escrow and Payout Terms control.
1.4 Defined terms. Capitalized terms used and not defined here have the meanings given in the Telure Payment, Escrow and Payout Terms, the Telure Seller Agreement, or the Telure Client Agreement.
2. Stripe as Payment Processor
2.1 Stripe. Payment processing on the Platform is provided by Stripe, Inc. and its affiliates ("Stripe"). Stripe processes Client funding transactions into the Client Funding Account, holds Client Funding Account balances at or through Stripe, and executes Conversion Payouts to Sellers through Stripe Connect.
2.2 Connected accounts. Each Seller, and each Client that funds a Client Funding Account, transacts through a Stripe connected account established during Platform onboarding. A Seller's connected account is the account into which each Conversion Payout is transferred and from which each payout to the Seller's Payout Method is made.
2.3 Telure is not the processor. Telure is not a payment processor, acquirer, payment facilitator of record for card network purposes, or financial institution. Telure instructs Stripe; Stripe executes.
2.4 Successor or additional processors. Telure may replace Stripe or add an additional payment processor. Telure will give notice through the Platform and at the party's registered email address, and the party will be required to accept the successor processor's agreements on the same basis as these Processing Terms require for Stripe.
3. Required Acceptance of the Stripe Agreements
3.1 Condition of use. Acceptance of the Stripe Connected Account Agreement, which incorporates the Stripe Services Agreement (together, the "Stripe Agreements"), is a condition of using the Platform. A Seller may not receive a Conversion Payout, and a Client may not fund a Client Funding Account, without accepting and remaining in good standing under the Stripe Agreements.
3.2 Direct relationship with Stripe. The Stripe Agreements are between the Seller or Client and Stripe. Telure is not a party to them. Telure does not modify, waive, interpret, or assume any obligation under them, and cannot bind Stripe.
3.3 Continuing obligation. Each Seller and Client must remain in compliance with the Stripe Agreements for as long as it uses the Platform. A Seller or Client that ceases to be in good standing with Stripe cannot transact on the Platform until the condition is cured.
3.4 Changes by Stripe. Stripe may amend the Stripe Agreements on the terms stated in them. Continued use of the Platform after such an amendment constitutes acceptance of the amended Stripe Agreements as between the party and Stripe.
3.5 Conflicts. In a conflict between the Stripe Agreements and a Telure document as to the party's relationship with Stripe, the Stripe Agreements control. In a conflict as to the party's relationship with Telure, the Telure documents control.
4. Identity Verification, Sanctions Screening and Ongoing Diligence
4.1 Verification obligation. Under the Stripe Agreements, Stripe is required to verify the identity of each connected account holder. Each Seller and Client must provide the information Stripe requests, which may include legal name, date of birth, residential or business address, taxpayer identification number or Social Security number, entity formation documents, beneficial ownership information, and a government-issued identification document or other documentary evidence.
4.2 Accuracy. Information furnished for verification must be complete, accurate, and current. Furnishing false or materially incomplete verification information is a material breach of the Telure Seller Agreement or the Telure Client Agreement and is grounds for Deactivation or termination.
4.3 Sanctions and watchlist screening. Stripe screens connected account holders and transactions against sanctions and watchlists administered by the Office of Foreign Assets Control of the United States Department of the Treasury and other authorities. Telure does not transact with, and the Platform may not be used by, a person or entity that is the subject of sanctions, that is located in a comprehensively sanctioned jurisdiction, or that appears on an applicable restricted party list.
4.4 Ongoing diligence. Stripe may require additional information at any time, including after onboarding, in response to transaction activity, a risk review, a dispute, or a regulatory obligation. A Seller or Client must respond within the time Stripe states. Funds may be held while a request is outstanding.
4.5 Consequence of failed verification. If Stripe does not verify a Seller's identity, the Seller cannot receive a Conversion Payout. Verified Conversions remain credited to the Seller, the corresponding funds remain reserved, and release occurs promptly after verification is completed, subject to the unclaimed funds provisions of the Telure Payment, Escrow and Payout Terms.
5. Data Sharing with Stripe
5.1 Data Telure shares. Telure shares with Stripe the information necessary to establish and maintain connected accounts, to process transactions, and to meet legal and network requirements, including: account registration and profile information; identity information; business information; bank account and Payout Method details; transaction records including Conversion Reports, Client Charges, Conversion Payouts, Platform Fees, dates and amounts; Dispute records and determinations; chargeback, reversal and return records; tax documentation and taxpayer identification information; device, network and fraud-signal data; and records required for sanctions and anti-money-laundering screening.
5.2 Data Stripe shares with Telure. Stripe shares with Telure verification status, account status and restrictions, balance and payout status, transaction and settlement records, dispute and chargeback data, and risk signals. Telure uses that information to operate the Platform, to adjudicate Disputes, to prevent fraud, and to meet its own legal obligations.
5.3 Consent. Each Seller and Client consents to the sharing described in this Section. Telure's handling of personal information is governed by the Telure Privacy Policy. Stripe's handling of personal information is governed by Stripe's own privacy policy and the Stripe Agreements.
5.4 Purpose limitation. Telure does not sell information shared under this Section and shares it with Stripe only for the purposes stated in this Section.
6. Stripe's Independent Authority Over Accounts
6.1 Independent action. STRIPE MAY, INDEPENDENTLY OF TELURE AND WITHOUT TELURE'S CONSENT, SUSPEND, RESTRICT, LIMIT, HOLD FUNDS IN, REVERSE TRANSACTIONS ON, OR CLOSE A CONNECTED ACCOUNT, AND MAY DELAY OR DECLINE A PAYOUT OR A FUNDING TRANSACTION. STRIPE MAY DO SO FOR REASONS INCLUDING FAILED OR INCOMPLETE VERIFICATION, SANCTIONS SCREENING, RISK OR FRAUD REVIEW, PROHIBITED BUSINESS ACTIVITY, EXCESSIVE DISPUTES, OR A LEGAL OR NETWORK REQUIREMENT.
6.2 Telure is not responsible. TELURE IS NOT RESPONSIBLE OR LIABLE FOR ANY SUSPENSION, RESTRICTION, HOLD, REVERSAL, DELAY, DECLINE, OR CLOSURE BY STRIPE, OR FOR ANY LOSS, DELAY, OR DAMAGE ARISING FROM IT. TELURE HAS NO AUTHORITY TO OVERRIDE, RELEASE, OR EXPEDITE A STRIPE HOLD OR RESTRICTION.
6.3 What Telure will do. Where Stripe restricts a connected account, Telure will notify the affected Seller or Client through the Platform, will identify the point of contact Stripe makes available where Stripe permits, and will resume processing promptly after Stripe removes the restriction.
6.4 Effect on Platform standing. A Stripe restriction does not by itself constitute a breach of the Telure Seller Agreement or the Telure Client Agreement. A Seller whose connected account is restricted cannot receive Conversion Payouts and may have Contract Listing access limited while the restriction persists. A Client whose connected account is restricted cannot fund a Client Funding Account, and the automatic Listing pause applies if the Available Balance falls below the Minimum Balance.
6.5 Telure's separate rights. Telure's rights to suspend, restrict, or terminate access under the Telure Seller Agreement, the Telure Client Agreement, or the Telure Seller Code of Conduct, Rating and Deactivation Policy are independent of Stripe's rights and are exercised on their own terms.
7. Payout Timing
7.1 Telure's step. Telure initiates release of a Conversion Payout promptly after the Dispute Window closes without a valid Dispute, or promptly after a Dispute is denied, as provided in the Telure Payment, Escrow and Payout Terms.
7.2 Stripe's step. After Telure initiates release, the transfer to the Seller's connected account and the payout from that account to the Seller's Payout Method are performed by Stripe on Stripe's processing schedule and over standard banking rails. Arrival of funds depends on Stripe's payout schedule for the account, the receiving institution's posting practices, banking days, and bank holidays.
7.3 No guaranteed arrival time. TELURE DOES NOT GUARANTEE THE DATE OR TIME FUNDS WILL ARRIVE IN A SELLER'S PAYOUT METHOD. TELURE'S OBLIGATION IS TO INITIATE RELEASE ON TIME. TELURE IS NOT LIABLE FOR A DELAY CAUSED BY STRIPE, A BANK, A CLEARING SYSTEM, A NETWORK OUTAGE, OR A THIRD-PARTY RISK REVIEW.
7.4 First payout. Stripe may apply a longer settlement period to a newly created connected account before the first payout is released. That period is set by Stripe.
7.5 Payout schedule. The payout schedule applicable to a Seller's connected account is set through Stripe Connect. Where Stripe makes schedule options available, the Seller may elect among them.
8. Payout Method Election and Fees
8.1 Election. A Seller elects its Payout Method through Stripe Connect. The standard Payout Method is a direct deposit to a United States bank account by ACH credit.
8.2 Instant payout. Where Stripe makes an instant payout option available for the Seller's Payout Method and the Seller elects it, the payout is delivered on Stripe's accelerated schedule and Stripe charges an instant payout fee, which Stripe deducts from the amount transferred. THE SELLER BEARS THE INSTANT PAYOUT FEE IN FULL. The fee is set by Stripe and may change. Electing instant payout is entirely optional; a Seller who does not elect it pays no payout fee.
8.3 No Telure payout fee. Telure charges no fee for a standard payout, charges no account, subscription, or maintenance fee to a Seller, and does not deduct any Telure fee from a Conversion Payout.
8.4 Changing the Payout Method. A Seller may change its Payout Method through Stripe Connect at any time. A change may take effect only for payouts initiated after the change is verified by Stripe, and Stripe may apply a verification period during which payouts are held.
9. Accuracy of Bank and Account Details
9.1 Seller responsibility. A SELLER IS SOLELY RESPONSIBLE FOR THE ACCURACY OF THE BANK ACCOUNT NUMBER, ROUTING NUMBER, ACCOUNT TYPE, ACCOUNT HOLDER NAME, AND ANY OTHER PAYOUT METHOD DETAIL IT PROVIDES. TELURE AND STRIPE ACT ON THE DETAILS PROVIDED.
9.2 Misdirected funds. If a Conversion Payout is sent to an account identified by details the Seller provided incorrectly, the funds may not be recoverable. Telure will make commercially reasonable efforts to assist in a recall request through Stripe, but does not guarantee recovery and is not liable for a payout made in accordance with the details the Seller provided.
9.3 Third-party accounts. A Payout Method must be a deposit account held in the Seller's own legal name or in the name of the Seller's business entity as registered with Stripe. A Seller may not direct a Conversion Payout to an account held by another person, to a payroll or factoring intermediary, or to a prepaid instrument not eligible to receive ACH credits.
9.4 Verification. Stripe may verify a Payout Method before use, including by microdeposit or an account verification service, and may hold payouts until verification succeeds.
10. Failed, Returned and Reversed Payouts
10.1 Failure and return. A payout may fail or be returned because of a closed account, an incorrect account or routing number, a frozen or restricted receiving account, a name mismatch, or a receiving institution's rejection.
10.2 What happens. Funds from a failed or returned payout are credited back to the Seller's Stripe connected account balance. Telure notifies the Seller through the Platform and at the Seller's registered email address. The Seller must correct or replace the Payout Method through Stripe Connect, after which the payout is re-initiated automatically on the next payout run.
10.3 Fees. Stripe may assess a fee for a failed or returned payout. Where Stripe assesses such a fee because of an error in the details the Seller provided or the condition of the Seller's receiving account, the fee is borne by the Seller and may be deducted from the connected account balance.
10.4 Repeated failures. After three consecutive failed or returned payouts, Telure may suspend further payout attempts until the Seller establishes and Stripe verifies a new Payout Method.
10.5 Unclaimed funds. A payout that remains uncollected because the Seller does not establish a valid Payout Method is handled under the unclaimed funds and escheatment provisions of the Telure Payment, Escrow and Payout Terms.
10.6 Reversals. Where Stripe reverses a transfer or payout for a reason within Stripe's authority under Section 6.1, the reversal is between the Seller and Stripe under the Stripe Agreements. Telure's clawback and offset rights under the Telure Payment, Escrow and Payout Terms are separate and are exercised only on the grounds stated there.
11. Tax Documentation and Forms Through Stripe
11.1 Collection. Tax documentation, including Internal Revenue Service Form W-9, is collected from each Seller through Stripe Connect onboarding or through the Platform, and is validated before the first Conversion Payout is released.
11.2 Delivery of information returns. Information returns reporting Conversion Payouts are prepared and delivered through Stripe's tax reporting service. A Seller may be offered electronic delivery through the Stripe connected account dashboard and, if the Seller consents to electronic delivery, will receive the form there rather than by mail. A Seller who does not consent to electronic delivery receives the form by mail at the address on file.
11.3 Seller responsibility for delivery details. A Seller must maintain a current legal name, taxpayer identification number, and mailing address in Stripe so that information returns are correct and deliverable. A Seller who does not consent to electronic delivery and whose mailing address is out of date may not receive a mailed form.
11.4 Correcting a form. A Seller who believes an information return is incorrect must notify Telure at support@telu.re promptly and furnish corrected tax documentation. Telure will investigate and, where a correction is warranted, will file and deliver a corrected return.
11.5 Backup withholding. Where the Internal Revenue Service directs backup withholding, or where a Seller has not furnished a correct taxpayer identification number, backup withholding is applied at the rate required by law and the Conversion Payout is released net of the amount withheld.
11.6 Internal procedure. Telure's internal handling of tax documentation, taxpayer identification number matching, backup withholding, and information return filing is set out in the Telure Contractor Tax Information and Information Return Procedure.
12. Keeping Account Information Current
12.1 Seller obligation. A Seller must keep the information in its Stripe connected account and in its Platform profile current and accurate at all times, including legal name, entity type, business address, mailing address, email address, telephone number, taxpayer identification number, beneficial ownership, and Payout Method.
12.2 Timing. A Seller must update the information within ten (10) calendar days of a change.
12.3 Client obligation. A Client must keep its billing contact, registered email address, business address, funding method, and, where applicable, tax exemption documentation current.
12.4 Consequence. Telure and Stripe may hold funds, suspend payouts, or restrict Platform access where account information is materially out of date, cannot be verified, or conflicts with information held by Stripe or a government record.
12.5 Notices. Each Seller and Client is responsible for monitoring the email address on file and the Platform for notices concerning payment processing, verification requests, and payout status.
13. Account Closure and Return of Funds
13.1 Closure by the Seller or Client. A Seller or Client may close its connected account through Stripe after satisfying any outstanding obligation under the Telure Seller Agreement, the Telure Client Agreement, or the Telure Payment, Escrow and Payout Terms.
13.2 Final payouts to a Seller. On closure, Telure releases every Conversion Payout for a Verified Conversion as it becomes due, net of any amount properly offset under the Telure Payment, Escrow and Payout Terms. Conversions still within the Dispute Window at closure are released or resolved on the ordinary schedule.
13.3 Return of a Client Funding Account balance. On closure, the Client's Available Balance is returned as provided in the Telure Payment, Escrow and Payout Terms, less any Reserved Amount, Negative Balance, or amount owed to Telure. Reserved Amounts are released or returned as the underlying Conversions are resolved.
13.4 Closure by Telure or Stripe. Telure may direct closure of a connected account on termination of the party's agreement with Telure. Stripe may close a connected account on its own authority under Section 6.1. On either closure, funds are handled in accordance with this Section and the Stripe Agreements, and amounts that cannot be delivered are handled under the unclaimed funds and escheatment provisions of the Telure Payment, Escrow and Payout Terms.
13.5 Records after closure. Closure does not affect Telure's or Stripe's obligation to retain records or to file and deliver information returns for the period in which payouts were made.
13.6 Survival. Sections 5, 6, 9, 10, 11 and 13 survive closure of a connected account and termination of the applicable Telure agreement.
14. General
14.1 Governing law and dispute resolution. These Processing Terms are governed by the law of the State of Delaware, without regard to conflict of laws principles. Any dispute between a party and Telure arising out of or relating to these Processing Terms is resolved under the dispute resolution provisions of the agreement through which the party accepted these Processing Terms: the Telure Seller Agreement for a Seller, and the Telure Client Agreement for a Client. A dispute between a party and Stripe is governed by the Stripe Agreements.
14.2 No third-party beneficiary except Stripe. Stripe is an intended third-party beneficiary of Sections 3, 5, 6 and 9 and may enforce them directly. No other person is a third-party beneficiary of these Processing Terms.
14.3 Amendment. Telure may amend these Processing Terms on not less than thirty (30) days' notice, given through the Platform and at the party's registered email address, except that a change required by Stripe, by law, by a regulator, or by a card network rule may be made effective immediately on notice. Continued use of the Platform after the effective date constitutes acceptance.
14.4 Severability. If any provision is held unenforceable, it is modified to the minimum extent necessary to be enforceable, or severed if it cannot be modified, and the remaining provisions continue in effect.
14.5 Notices. Notices to Telure under these Processing Terms are given to legal@telu.re. Operational notices may be given to support@telu.re.
14.6 Headings. Headings are for convenience and do not affect interpretation.
