Version 1.0 · Effective October 1, 2026
These Platform Terms of Service (these "Terms") govern access to and use of the websites, applications, and services operated by Telure Inc., a Delaware corporation ("Telure," "we," or "us"), including telu.re, the Seller application, the Dialer, and the Company portal (together, the "Platform"). By accessing or using the Platform you agree to these Terms and to the Privacy Policy.
1. Who These Terms Cover
1.1 Everyone. These Terms apply to every visitor and user of the Platform.
1.2 Sellers. An individual who accepts the Seller Agreement is a "Seller." The Seller Agreement and the documents it incorporates govern the Seller's relationship with Telure and control over these Terms where they conflict.
1.3 Companies. A business that accepts the Client Agreement is a "Company." The Client Agreement and the documents it incorporates govern the Company's relationship with Telure and control over these Terms where they conflict.
1.4 Applicants and Visitors. A person who joins a waitlist, applies to become a Seller or Company, or simply visits the Platform is bound by these Terms only.
2. What Telure Is
2.1 A Marketplace. Telure operates a marketplace on which Companies post Contracts for sales meetings to be booked and independent Sellers book them by calling prospects through Telure's Dialer. Telure builds the lists, operates the Dialer, verifies bookings, handles payment, and sets the rules of the Platform.
2.2 Not a Party to Meetings. Telure is not a party to any meeting between a Company and a prospect, does not attend meetings, and makes no representation about what a Company or a prospect will do in or after a meeting.
2.3 Sellers Are Independent. Sellers are independent contractors. They are not employees or agents of Telure or of any Company, and Telure does not direct how they work.
2.4 Business Use. The Platform is for business use. Companies must be businesses, Contracts must target businesses, and Sellers provide services to businesses.
3. Eligibility and Accounts
3.1 Age. You must be at least 18 years old to use the Platform.
3.2 Waitlists and Admission. Telure may maintain a waitlist for Sellers or Companies, may admit applicants at its discretion and in any order, and may end a waitlist at any time.
3.3 Accounts. You may hold one account in each capacity. You must provide accurate information and keep it current, keep your credentials secure, and notify Telure at security@telure.co of any unauthorized use. You are responsible for activity under your account.
3.4 Suspension and Termination. Telure may suspend or terminate access to the Platform for a breach of these Terms or as the Seller Agreement or Client Agreement provides. You may close your account at any time as those agreements provide.
4. Acceptable Use
You will not:
(a) use the Platform for any unlawful purpose or in violation of any Platform Term; (b) place or attempt to place a call to any number other than through the Dialer under a Contract, or to any number not on a Telure-built list; (c) scrape, crawl, harvest, or extract data from the Platform, including lists, prospect data, Company materials, or Seller information; (d) reverse engineer, decompile, or attempt to derive the source code of the Platform or its models; (e) interfere with the Platform's operation, security, or compliance systems, including the Dialer's screening, calling window, attempt limits, recording rules, or Compliance Log; (f) create accounts by automated means, impersonate anyone, or misrepresent your affiliation with any business; (g) upload malicious code or attempt to gain unauthorized access to any system or account; (h) use the Platform to send unsolicited messages, or to contact any prospect outside the Dialer; (i) use the Platform to build a competing product, or copy its features, materials, or documents for that purpose; or (j) use any Telure name, mark, or content except as these Terms or another Platform Term permit.
5. Content and Intellectual Property
5.1 Telure's Content. The Platform, its software, models, designs, text, graphics, lists, documents, and the TELURE name and marks are owned by Telure or its licensors and protected by intellectual property law. Telure grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Platform for its intended purpose under the Platform Terms. No other right is granted.
5.2 Your Content. You retain ownership of the content you submit to the Platform. You grant Telure a non-exclusive, worldwide, royalty-free license to use, reproduce, adapt, and display it to operate and improve the Platform, subject to the Privacy Policy and, for Sellers and Companies, to the further terms of their agreements. You represent that you have the rights needed to grant this license and that your content does not infringe anyone's rights or violate any law.
5.3 Feedback. Telure may use any feedback or suggestion you provide without obligation to you.
5.4 Copyright Complaints. If you believe content on the Platform infringes your copyright, send a notice to Telure's designated agent at copyright@telure.co that includes the information required by 17 U.S.C. § 512(c)(3): identification of the work and of the infringing material, your contact information, a statement of good-faith belief, a statement under penalty of perjury that the notice is accurate and that you are authorized to act, and your physical or electronic signature. Telure will respond as the Digital Millennium Copyright Act provides and may terminate the accounts of repeat infringers.
6. Third-Party Services
The Platform uses third-party services, including Stripe for payments and identity verification and Google and Microsoft calendar services for meeting scheduling. Your use of those services through the Platform is subject to their terms, which are identified in the Payment Processing Terms and the Privacy Policy. Telure is not responsible for third-party services.
7. Communications
7.1 Email. Telure will send you email about your account, the Platform, and the Platform Terms. Transactional and legal notices cannot be opted out of while you hold an account. You may opt out of other email at any time.
7.2 Text Messages. Telure sends text messages only to users who opt in. By opting in you consent to receive text messages from Telure about your account and the Platform at the number you provide; message frequency varies; message and data rates may apply; reply STOP to cancel and HELP for help. Consent to text messages is not a condition of using the Platform.
7.3 Electronic Records. You consent to receive agreements, notices, disclosures, and records electronically, and agree that electronic acceptance has the same effect as a signature. You may withdraw consent to electronic delivery of tax information returns as the Payment Processing Terms provide.
8. Privacy
The Privacy Policy describes what information Telure collects, how it is used and shared, and the rights available to you. It is part of these Terms.
9. Disclaimers
The Platform is provided "as is" and "as available." To the fullest extent permitted by law, Telure disclaims all warranties, express and implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing. Telure does not warrant that the Platform will be uninterrupted, secure, or error-free, or that any Contract, Booking, meeting, or payment will result from its use.
10. Limitation of Liability
To the fullest extent permitted by law, Telure will not be liable for indirect, incidental, consequential, special, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or relating to the Platform or these Terms. Telure's total liability to any person under these Terms will not exceed $100, except that for Sellers and Companies the limitation in their respective agreements applies instead. These limitations do not apply to liability that cannot be limited by law.
11. Indemnification
You will defend and indemnify Telure and its officers, directors, and employees against third-party claims, and the resulting losses and reasonable attorneys' fees, arising from your breach of these Terms, your content, or your violation of law. For Sellers and Companies, the indemnification provisions of their respective agreements apply instead of this Section.
12. Dispute Resolution
12.1 Sellers and Companies. Disputes involving a Seller are governed by Section 20 of the Seller Agreement. Disputes involving a Company are governed by Section 23 of the Client Agreement.
12.2 Everyone Else. Any other dispute arising out of or relating to these Terms or the Platform will be resolved exclusively in the state or federal courts located in New Castle County, Delaware, and each party consents to personal jurisdiction there. Each party waives any right to a jury trial and agrees to bring claims only in an individual capacity and not in any class, consolidated, or representative proceeding, to the extent the law permits.
12.3 Governing Law. These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules.
13. Changes
Telure may change these Terms by posting the new version at telu.re/legal with a new version number and effective date. For Sellers and Companies, notice and effectiveness follow their respective agreements. For everyone else, continued use after the effective date accepts the change.
14. General
14.1 Entire Agreement. These Terms, the Privacy Policy, and, where applicable, the Seller Agreement or Client Agreement and the documents each incorporates are the entire agreement between you and Telure about the Platform.
14.2 Severability; Waiver. If any provision is unenforceable, it will be modified to the minimum extent necessary and the remainder will continue. Telure's failure to enforce a provision is not a waiver.
14.3 Assignment. You may not assign these Terms. Telure may assign them to an affiliate or a successor to its business.
14.4 Force Majeure. Telure is not liable for delay or failure caused by events beyond its reasonable control.
